LEGAL

Terms Of Service

Last updated: July 15, 2026

  • Agreement
    These Terms of Service ("Terms") are a legally binding agreement between you and DESENTA SIA, registration number 40203699982, registered address: Jaunā Mežaparka iela 46 - 4, Rīga, LV-1014, Latvia ("Desenta", "we", "us", or "our"). They apply to Desenta websites, the Desenta web application, early access and beta features, designer accounts, project pages, preview links, published sections, shared project links, and related services (together, the "Services").
    By creating an account, requesting early access, using Desenta, publishing or sharing project materials, or opening or using a shared project link, you agree to these Terms. If you only open or use a shared project link and do not create an account, only the project-link access and use rules in these Terms apply to you.

    If you do not agree, do not create an account or use Desenta. If you only receive a shared project link and do not agree, do not access or use the project materials.
  • Who These Terms Apply To
    These Terms use "you" for the person or organisation using Desenta. Depending on the situation, "you" may mean:
    • Designer or studio: the person or business that creates or manages interior design projects in Desenta.
    • Account user: a person who logs in to Desenta.
    • Account holder: the person or business that controls the Desenta account and its access settings.
    • Shared-link recipient: a client, contractor, supplier, or other person who opens a project link without creating a Desenta account. Only the project-link rules apply to them unless they also create an account.

    If you use Desenta for a studio, company, client, employer, or other organisation, you confirm that you are allowed to do so. In that case, "you" also includes that organisation where the context requires.
  • What Desenta Provides
    Desenta is a presentation and project delivery platform for interior designers and studios. It helps create, organise, and share interior design projects as branded client presentations delivered through project links. Those project presentations may include design briefs, concepts, references, moodboards, colour palettes, 3D renders and other visualisations, floor plans, drawings and source files, FF&E and Finishes schedules, product links, pricing information, vendor and supplier details, publication status, versions and version history for project sections, and uploaded project files and images.

    Subject to these Terms, Desenta gives account users and account holders a limited, non-exclusive, non-transferable right to access and use the Services for design business, studio, or client-project work while their free or early-access account is active.
    Desenta keeps all rights in the Desenta platform itself, including the software, interface, branding, workflows, templates, design system, documentation, data models, analytics, know-how, and improvements. This does not give Desenta ownership of a designer's Project Content.
  • Designers And Studios
    Designers and studios are responsible for the accounts, projects, files, client information, shared links, and any invitations or access controls available in the product.

    • You remain responsible for your own client relationships, contracts, deliverables, budgets, approvals, and professional obligations.
    • Review project information before sharing it with clients, collaborators, suppliers, or the public.
    • Make sure you have the rights and permissions needed to upload, adapt, publish, and share project materials.
    • You are responsible for choosing the right sharing mode and revoking links or invitations when needed.
  • Shared Project Links And Recipients
    Designers and studios can share projects through the Share function, including by copying a project link or sending the link by email where that feature is available. This is the intended route for sending a project to clients or other external recipients. Shared project links show the published client-visible version of the project. Draft changes or sections being edited are hidden from the shared client view until the designer publishes them again. Project links are not password-protected unless Desenta expressly provides password protection or another access-control feature. Anyone who receives the link may be able to access the published project materials, so designers and studios are responsible for deciding who to share the link with and when.

    Preview is a quick internal review route for the designer or studio. A preview link or preview view may show draft changes, unpublished sections, or project materials that are not visible in the official shared client link. A preview link can technically be forwarded, but it is not the intended way to send projects to clients. Use the Share function for client-facing project delivery.

    • Designers and studios are responsible for choosing the right sharing mode, checking that shared materials are ready, sharing project links and materials only within the permissions they have, and managing or revoking access where needed.
  • Clients And Other Shared-Link Recipients
    This section applies to clients and any other person who receives, opens, views, downloads, or otherwise uses a project link or project materials shared through Desenta without creating a Desenta account. By opening or using the link, you agree to the project-link rules in this section.

    You may use the project link and project materials for your own project purposes, including review, decision-making, procurement, and collaboration with contractors. You may not share, reproduce, or repurpose them beyond the scope of the project for which they were prepared.

    You must not copy, forward, publish, reuse, scrape, exploit, or give access to project materials without permission from the designer, studio, client, or other relevant rights holder.

    Desenta is not a party to the design contract, approval process, procurement, installation, budget, payment, or client relationship between you and the designer or studio.

    Questions about the project, deliverables, permissions, decisions, pricing, deadlines, changes, refunds, or the client relationship should be directed to the designer or studio that shared the link with you.
  • Accounts And Access
    You must be at least 18 years old, or the age of majority in your jurisdiction if higher, and able to form a legally binding contract to create a Desenta account.
    • Keep your account information accurate and your login credentials secure.
    • Each account should be used by the person it was created for unless Desenta provides shared account administration features.
    • You are responsible for activity under your account and shared project links.
    • Tell us promptly if you believe your account or project link has been accessed without permission.

    If an account belongs to a studio or company, that studio or company may manage the account, access, and project materials through the available product settings.
  • Project Content And Ownership
    "Project Content" means the files and information added to Desenta by you or your authorised users. This can include design briefs, concepts, references, moodboards, colour palettes, 3D renders and other visualisations, floor plans, drawings and source files, FF&E and Finishes schedules, product links, pricing information, vendor and supplier details, publication status, versions and version history for project sections, client and project details, logos, notes, uploaded project files and images, and other project materials.

    As between you and Desenta, you keep ownership of your Project Content. Desenta does not become the owner of your project materials. However, other people may still have rights in those materials, such as clients, photographers, architects, interior designers or studios, manufacturers, suppliers, brands, or licensors.

    You give Desenta permission to host, store, display, reproduce, process, transmit, and use Project Content only as needed to provide, secure, support, maintain, and improve the Services; comply with law; and enforce these Terms.

    You confirm that you have the rights, permissions, notices, consents, and lawful bases needed to upload, use, publish, share, and invite others to access your Project Content through Desenta.

    If you import or use content from Pinterest or other third-party sources, you are responsible for ensuring that you have the right to use that content in your project and share it with clients or other recipients. Desenta may provide technical integrations with third-party services such as Pinterest, but Desenta does not verify rights in third-party content. Your use of third-party services is governed by their own terms and privacy policies. Desenta is not responsible for third-party content, availability, API changes, access restrictions, or practices.

    Desenta may use your name, studio name, logo, screenshots, project materials, or case study for marketing only with your prior written approval. You may withdraw that approval for future promotional use by contacting us.

    Publishing projects
    When you publish project sections or whole presentations, you make those materials available in the client-visible shared project view. You are responsible for checking that published materials are accurate, appropriate, and ready for the intended recipients. Desenta may remove or restrict published or shared materials if they appear to violate law, third-party rights, these Terms, or platform security.
  • Rules For Using Desenta
    You must not use Desenta to:
    • break the law or violate someone else's rights;
    • upload unlawful, harmful, abusive, discriminatory, misleading, infringing, or malicious content;
    • access accounts, projects, systems, or data without permission;
    • interfere with platform security, availability, performance, or integrity;
    • upload malware, spam, or use automated tools without permission;
    • scrape, copy, resell, rent, lease, sublicense, or commercially exploit the Services;
    • reverse engineer Desenta or try to derive its source code;
    • use Desenta for unauthorised benchmarking, competitive analysis, or to build or market a competing product;
    • use Desenta in violation of export controls, sanctions, anti-corruption laws, or trade restrictions.
  • AI-Assisted Features
    Desenta may use AI-assisted features to help extract and organise product information from supplier or product webpages, including item names, images, prices, specifications, dimensions, materials, finishes, colours, vendors, and other product details for FF&E and Finishes schedules.
    AI-assisted output may be incomplete, inaccurate, outdated, or unsuitable for a particular project, supplier, budget, jurisdiction, or professional use. You are responsible for reviewing and correcting AI-assisted output before relying on it or sharing it with clients.
    Do not submit confidential, sensitive, or regulated information to AI-assisted features unless you have permission and understand the relevant risks. AI-assisted features do not replace professional design, procurement, legal, tax, engineering, architectural, construction, or compliance advice.
    Unless Desenta clearly discloses otherwise and obtains the consent or settings required by applicable law, Desenta will not use private Project Content to train general-purpose AI models.
  • Availability And Backups
    We work to keep Desenta available and useful, but we do not guarantee uninterrupted access, error-free operation, or permanent availability of any feature. Maintenance, updates, technical issues, third-party outages, security events, internet failures, or product changes may interrupt the Services.
    Early access, beta, experimental, preview, or free features may be incomplete, changed, limited, suspended, or withdrawn at any time.
    Keep your own copies of important project materials, specifications, client files, and deliverables. Desenta is not a substitute for your own archive, backup system, or professional records.
  • Ending Access
    You may stop using Desenta at any time. Designers and account holders may revoke shared links or invitations where the product allows. Desenta may suspend or terminate access if we reasonably believe that you violated these Terms, created security or legal risk, infringed third-party rights, or used the Services in a way that may harm Desenta, users, clients, or third parties.

    Published or archived project links may remain accessible to clients for up to 24 months from the original publication date, as long as the designer's account remains active and the link or project has not been revoked, disabled, or deleted. Archiving or unarchiving a project does not restart or extend the original 24-month period.

    Before deleting an account, designers and account holders should export or download any project materials they want to keep. Once account deletion is confirmed, access to the account stops, shared and preview links stop working, and Desenta deletes account and project content from active systems.

    Copies already present in routine backups are deleted or overwritten within 90 days after account deletion. Security logs are also deleted within 90 days, except records needed for an active security investigation, legal claim, or legal requirement. Users cannot access or restore their account or projects from these backups.
    Sections about ownership, privacy, disclaimers, limitation of liability, indemnity, disputes, and general legal terms continue to apply after access ends.
  • Disclaimers And Liability
    Desenta is provided as a self-service product. To the fullest extent permitted by law, Desenta does not guarantee that the Services will be uninterrupted, error-free, always available, or suitable for every project or professional use.

    Desenta does not provide legal, tax, accounting, architectural, engineering, procurement, construction, or professional design advice. You are responsible for validating specifications, measurements, budgets, product availability, compliance requirements, and client deliverables.

    To the fullest extent permitted by law, Desenta will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business, opportunities, or project materials. To the fullest extent permitted by law, Desenta's total liability for all claims relating to the Services or these Terms is capped at the greater of the amount you paid to Desenta in the twelve months before the claim or EUR 100.
